Alliance Entertainment Buys Diamond Comics Distributors

The comics industry has had a massive question mark hanging over it for the past several months. Now, the largest distributor in comics officially has a buyer, and it’s a not wholly unfamiliar name in the entertainment industry.

Alliance Entertainment has officially announced that they have acquired “substantially all” of the assets of Diamond Comics Distributors. Diamond has been the primary distributor of comic books for decades. That began to shift in the wake of the COVID-19 pandemic as comics publishers led by DC Comics began seeking other distributors and ending their exclusivity contracts with Diamond.

The distribution giant announced they were filing for Chapter 11 bankruptcy in January of this year. The filings revealed that the company was millions of dollars in debt to many of their creditors. Since then, the industry has scrambled to adjust to this new reality, with many publishers ending their exclusivity with Diamond and even some small publishers choosing to shut down entirely. The press release from Alliance (pasted in full below) specifically mentioned the acquisition of Diamond Comics Distributors, Diamond Select Toys and Collective Grading Authority among others. Not specifically mentioned is Free Comic Books Day, the extremely popular annual event that counts for one of the industry’s biggest draws to the local comic book shop.

The proposed acquisition, which is subject to Bankruptcy Court approval, includes Diamond Comic Distributors (U.S.), Alliance Game Distributors, Diamond Select Toys & Collectibles, and Collectible Grading Authority, which collectively represent a 42-year-old enterprise recognized as a category-defining leader in comic books, tabletop games, pop-culture merchandise, and collectible grading.

With substantial account overlaps already identified, the acquisition will enable immediate cross-selling potential: introducing Diamond’s fan-favorite intellectual property into Alliance’s mass retail and e-commerce channels, while bringing Alliance’s extensive catalog of physical media and licensed merchandise into thousands of specialty accounts.

Alliance Entertainment intends to finance the acquisition through an amendment to its existing $120 million Revolving Credit Facility, which it expects to increase to $160 million. The amended facility will be secured by a pledge of the acquired assets, alongside the Company’s existing collateral. The transaction and credit facility amendment are expected to close in April 2025, subject to final bankruptcy court approval and customary closing conditions.
